Corporate Paralegal
Position Summary
Our client is seeking a Corporate Paralegal to support the Legal Department in the areas of contract administration, corporate governance, entity management, intellectual property, and legal operations. This position will partner with attorneys, business leaders, and outside counsel to ensure legal compliance, maintain corporate records, and support critical business initiatives.
Responsibilities
Contract Management
- Manage the full contract lifecycle, including intake, review, approval, execution, and storage.
- Maintain contract databases and contract management systems.
- Track contract renewals, expirations, notice periods, and other key obligations.
- Maintain contract templates and approval workflows.
- Prepare contract status reports and support due diligence requests.
Corporate Governance & Entity Management
- Maintain corporate records, minute books, and entity databases.
- Coordinate entity formations, registrations, annual reports, qualifications, and dissolutions.
- Assist with board resolutions, consents, minutes, and other governance documents.
- Maintain officer, director, and signature authority records.
- Support entity compliance and regulatory filing requirements.
Intellectual Property Administration
- Maintain trademark and intellectual property records.
- Track trademark filing, renewal, and maintenance deadlines.
- Coordinate with outside counsel on trademark applications, renewals, and enforcement matters.
- Support trademark clearance reviews and infringement monitoring activities.
Legal Operations
- Administer legal technology platforms, matter management systems, and document repositories.
- Manage legal intake requests and route matters appropriately.
- Develop and maintain legal templates, trackers, and procedures.
- Assist with reporting, process improvements, training initiatives, and special projects.
Outside Counsel Management
- Coordinate outside counsel engagements and matter assignments.
- Monitor matter status and maintain engagement documentation.
- Assist with invoice review, legal spend tracking, and budget reporting.
Qualifications
- 5+ years of paralegal experience in a corporate legal department or law firm.
- Experience with contract administration, corporate governance, entity management, or legal operations.
- Strong organizational, project management, and communication skills.
- Experience maintaining legal records, databases, and document management systems.
- Proficiency with Microsoft Office, Adobe Acrobat, and legal technology platforms.
- Paralegal Certificate preferred.
- Experience with trademarks, intellectual property, or contract lifecycle management systems is a plus.
Preferred Background
Candidates may come from Corporate Paralegal, Corporate Governance Paralegal, Contracts Paralegal, M&A Paralegal, Commercial Real Estate Paralegal, Legal Operations Paralegal, or in-house legal department backgrounds.
